My instincts tell me that it is a bad download (I've had that happen
even from the Apache site). Try downloading it again.

However, here are some things to consider:

Are you using the "Win32 Binary (MSI Installer):
apache_1.3.27-win32-x86-no_src.msi" version? Have you got the msi
(Microsoft installer)? See

Do you have the right permissions as admin to install programs?

There may even be something running (another app) that is causing it
to fail. Check what other things are running, and try closing some
down. For example, you may have IIS running, or A/V.

When prompted for a server & domain name, simply put "localhost" in
both instead of localdomain.
